1. Agreement to Terms

These Terms & Conditions constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you") and MODABAY E-Commerce Platform ("we", "us", or "our"), concerning your access to and use of our website, product catalog, AI recommendations, and online checkout services.

By accessing the site or creating an account, you confirm that you have read, understood, and agreed to be bound by all of these Terms & Conditions. If you do not agree, you must discontinue use immediately.

2. User Accounts & Security

To access certain features including order history, wishlist, and personalized recommendations, you must register an account. You agree to:

• Provide accurate, current, and complete registration information.
• Maintain the security and confidentiality of your login credentials.
• Notify us immediately of any unauthorized use or security breach of your account.
• Accept responsibility for all activities that occur under your authenticated account.

3. Products, Pricing & Availability

We make every effort to display the colors, specifications, and details of our clothing, footwear, and accessories as accurately as possible. However, your device's display settings may affect color accuracy.

• Price Integrity: All prices are displayed in Nigerian Naira (₦). While we endeavor to provide error-free pricing, inadvertent typographical errors may occur. In such cases, we reserve the right to cancel affected orders prior to dispatch.
• Inventory & Stock: Products are subject to availability. Adding an item to your cart does not reserve inventory until order checkout is completed.
• Modifications: We reserve the right to modify prices or discontinue items without prior notice.

4. Orders & Payment Processing

When you submit an order on MODABAY, you authorize us to charge the designated payment method (Paystack, Debit/Credit Card, Bank Transfer, or Cash on Delivery).

We reserve the right to refuse or cancel any order for reasons including fraudulent alerts, unauthorized card use, or inventory discrepancies. In the event of order cancellation after payment confirmation, a full refund will be processed immediately.

5. Delivery & Shipping

Estimated delivery dates are provided in good faith. Standard delivery across Lagos takes 24–48 hours, and 3–5 business days for other states in Nigeria. Risk of loss passes to you upon delivery confirmation by our courier partners.

6. Returns, Refunds & Exchanges

All purchases are governed by our 30-Day Return & Refund Policy. Items must be returned in their original condition, unworn, unwashed, and with all original tags attached.

7. Product Reviews & Customer Content

Customers who have completed verified purchases may submit ratings, reviews, and product images. By submitting content, you grant MODABAY an irrevocable, royalty-free license to display and publish your review. We reserve the right to reject reviews containing defamatory, abusive, or infringing content.

8. Intellectual Property

Unless otherwise indicated, the MODABAY site, trademark, logo, design code, and digital catalog assets are our proprietary property and are protected by copyright and intellectual property laws. No part may be copied, reproduced, or distributed without express written consent.

9. Governing Law & Dispute Resolution

These Terms shall be governed by and defined following the laws of the Federal Republic of Nigeria. Any disputes arising in connection with these terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Lagos State, Nigeria.
